Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vocade platform (vocade.ai), operated by Vocade Inc. ("Vocade", "we", "us", or "our"). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Service Description

Vocade is an AI-powered voice agent platform that enables businesses to create, configure, and deploy intelligent phone and web agents. Our services include AI-driven call handling, real-time speech-to-text transcription, text-to-speech voice synthesis, call recording and storage, embeddable web widgets for voice and text conversations, post-call intelligence and analytics, calendar scheduling integration, and related management tools.

2. Account Registration

To use Vocade, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3. Acceptable Use

You agree not to use Vocade to:

  • Violate any applicable laws, regulations, or third-party rights
  • Make calls or initiate conversations that violate telemarketing laws, do-not-call registries, or anti-spam regulations (including CASL)
  • Engage in harassment, fraud, impersonation, or deceptive practices
  • Transmit malicious code, viruses, or any harmful content
  • Interfere with or disrupt the integrity or performance of the platform
  • Attempt to gain unauthorized access to any part of the service or its related systems
  • Use the platform to collect personal information without appropriate consent
  • Record calls or conversations in jurisdictions where such recording is prohibited without proper consent
  • Deploy web widgets or phone agents in a manner that deceives end users about interacting with an AI

You are solely responsible for ensuring that your use of Vocade complies with all applicable laws regarding call recording, consent, AI disclosure, and telecommunications regulations in your jurisdiction.

4. Payment and Billing

Certain features of Vocade require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described on our pricing page. Fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).

All payments are processed through Stripe. You authorize us to charge your designated payment method for all fees incurred. Unless otherwise stated, all fees are quoted in US dollars and are non-refundable.

We reserve the right to change our pricing at any time. We will provide reasonable notice of any price changes before they take effect. Continued use of the service after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

All content, features, and functionality of the Vocade platform, including software, text, graphics, logos, and documentation, are owned by Vocade Inc. and are protected by Canadian and international intellectual property laws.

You retain ownership of any content you upload or create through the platform, including agent configurations, system prompts, knowledge base content, and custom data. By using our services, you grant us a limited, non-exclusive license to process and store your content solely for the purpose of providing and improving the Vocade platform.

6. Call Data, Web Conversations, and Recordings

You acknowledge that Vocade may record, transcribe, and store phone calls and web widget conversations made through the platform, depending on your configuration. You are responsible for obtaining all necessary consents from callers and web visitors before recording or processing their conversations, as required by applicable law.

We process call and conversation data using third-party providers (including Twilio, Vonage, AssemblyAI, Deepgram, Inworld AI, and Groq) as described in our Privacy Policy. You agree that such processing is necessary to deliver the services.

7. Web Widget Embedding

If you embed the Vocade web widget on your website, you are responsible for ensuring that your website's privacy policy and terms of service disclose the use of AI-powered voice and chat functionality, and that end users are appropriately informed and have consented to any data collection that occurs during widget interactions.

8. Disclaimers

Vocade is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure.

AI-generated responses may not always be accurate or appropriate. You are responsible for reviewing and monitoring your AI agents' performance and for any actions taken based on AI-generated content.

We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Vocade Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of Vocade.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vocade Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of Vocade, your violation of these Terms, or your violation of any applicable law or third-party rights.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to Vocade at any time, with or without cause, including for violation of these Terms.

Upon termination, your right to use the platform ceases immediately. We may retain certain data as required by law or as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of Vocade after changes are posted constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
